Anyone who has ever had a mortgage on their home has lived through an escrow experience. Homeownership is an American icon, with closings conducted every banking day. Because bankers and mortgage companies handle these constantly, the transactions feel commonplace.
With medical intellectual property transfer, the closing is not a standard boilerplate transaction. There is an innate high-stakes tension between the parties. An expert escrow agent can steady the process smoothly and on time.
1. The Parties’ Anxieties
In an IP transfer, both sides are peering over the edge to see how big the hole is.
The Seller/Licensor’s Risk: Once the documents are signed and title transferred, what if the money never hits the account. If you hand over the keys, to proprietary data, passwords, and client lists before the funds are cleared and secured, the” baby was thrown out with the bathwater.”

Lien Searches: Confirming the assets are being sold free and clear of undisclosed debt.
Tax Clearances: Making a Buyer aware of current liens that could cloud ownership and use taxes.
Prudent Disbursement: Paying brokers, creditors, and tax authorities in the correct order of priority.

If a party resists using an independent escrow agent, it is a red flag. It’s always better to pay for a pro to be the middleman. A trusted escrow agent is worth every penny; an uncontested closure provides long-term peace of mind for all parties.
