NEED EXPERT ASAP DISPATCH ALERT AGREEMENT

Eligibility & Content Standards

1. Regulatory Nexus: To qualify for the NEED Expert ASAP Dispatch Alert (“Alert”), the Needer must be actively involved in the legal protection, financing, insuring, research, clinical testing, manufacturing, or commercialization of medical inventions regulated by the FDA, or one of the professions identified in the Terms of Service & Conditions.

2. Sole Discretion: MPB reserves the right to review, reject, or remove any Alert at any time. Any content deemed offensive, detrimental, or inconsistent with the mission of getting medical inventions to the patient will be removed immediately without notice.

3. Platform Integrity: All Alerts must remain professional and focused on the immediate technical, clinical, regulatory, or financial advancement of medical intellectual property.

NEEDER’S DISPATCH ALERT AGREEMENT

THIS AGREEMENT is made effective as of the date of electronic acceptance, by and between Medical Patents Broker Inc. (“MPB”), a Kentucky Corporation, and the entity or individual registering as the Needer of the Alert (“Needer”).

After the above Alert is reviewed by MPB, MPB will forward either an acceptance or rejection email to the Needer. Upon approval, an invoice will be issued and paid before the alert goes public. To qualify for listing, the Needer must be associated with the regulatory movement of a medical invention toward the patient or medical patents.

1. NEED EXPERT ASAP DISPATCH SERVICES

MPB provides Needer with public exposure of the Needer’s Alert across its digital ecosystems. Needer acknowledges that MPB acts solely as a passive platform. MPB’s role is strictly limited to providing a digital space for Needer’s Alert to Marketplace Users. MPB does not verify the credentials, track records, insurance status, or regulatory compliance of Needers or responding Marketplace Users. MPB’s primary business is a transaction facilitator for medical patents.

2. AT LEAST TWENTY-ONE DAY FEE RATE

Needer shall pay a non-refundable fee of $330.00 for the Alert placement prior to publication. If it is subsequently discovered after publication that the Alert or the Needer lacks an active FDA or regulatory medical patent nexus, MPB reserves the right to remove the Alert immediately, and the $330.00 fee shall be strictly forfeited as liquidated damages for policy violation.

3. MPB INDEPENDENT STATUS:

3.1 No Partnership: This Agreement does not create a partnership, joint venture, agency, or employer-employee relationship. Needer and MPB are arm’s-length unrelated parties.

3.2 Insurance Representation: Needer represents that Needer maintains professional liability (E&O) insurance. MPB does not maintain liability insurance for the Needer.

3.3 Needer shall indemnify, defend, and hold harmless MPB, its officers, and directors from any claims or legal fees arising from Needer’s professional conduct, or any third-party allegation(s) of infringement of that third party’s intellectual property rights.

3.4 LIMITATION OF LIABILITY NEEDER AGREES THAT MPB’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT—WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE—IS STRICTLY LIMITED IN THE AGGREGATE TO ONE HUNDRED DOLLARS ($100.00 USD). UNDER NO CIRCUMSTANCES SHALL MPB BE LIABLE FOR LOST PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES.

4. WARRANTY OF AUTHORITY (Academic & Professional):

Needer represents that:

(a) the Alert does not violate any employment contract, “Outside Professional Activity” policy, or restrictive covenant; and
(b) that Needer has obtained all necessary institutional, firm, or corporate approvals to issue this request.

5. GOVERNING LAW & VENUE:

ALL ACTS AND TRANSACTIONS PURSUANT HERETO AND THE RIGHTS AND OBLIGATIONS OF THE PARTIES SHALL BE GOVERNED BY THE LAWS OF THE COMMONWEALTH OF KENTUCKY, WITHOUT GIVING EFFECT TO THE PRINCIPLES OF CONFLICTS OF LAWS THEREOF. Any dispute shall be resolved through binding arbitration in Lexington, Kentucky.

6. INCORPORATION OF TERMS:

Needer acknowledges Needer has read and agrees to be bound by the global MPB Terms of Service & Conditions (incorporated herein by reference) and affirms they are a “Sophisticated Party” operating strictly in a Business-to-Business capacity.

7. FREEDOM TO PUBLISH & LICENSE

Needer hereby grants to MPB a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute the text and logos provided by Needer for the purpose of publishing and broadcasting the Alert. Because of copyright limitations, photographs or third-party proprietary textual materials are strictly prohibited in Needer’s Alert. Needer acknowledges that MPB has “Freedom to Publish” this content across its platforms. Needer warrants that such publication does not infringe upon any third-party intellectual property rights. MPB reserves the right to edit alerts for length, clarity, or formatting consistency without altering the substantive meaning of the content.

NEEDER REQUIRED AFFIRMATIONS

Fee Acknowledgment:(Required)

I agree to pay the $330.00 Needer fee upon approval of my submission. I understand this fee is for a public alert broadcast and does not constitute a partnership with MPB.

Professional Authority:(Required)

I confirm that my participation in this Dispatch Alert is authorized by my employer, firm, or institution and does not violate any employment agreement, “Outside Professional Activity” policy, or “Work for Hire” obligations.

Limitation of Liability:(Required)

I acknowledge and agree that MPB’s total aggregate liability to me or my entity is strictly capped in the aggregate at one hundred dollars ($100.00 USD) as outlined in Section 3.4.

Insurance, IP & Indemnity:(Required)

Needer affirms they maintain professional liability (E&O) insurance and agrees to indemnify, defend, and hold harmless MPB, its officers, and directors from any and all losses, liabilities, claims, or legal expenses (including reasonable attorney’s fees) arising out of: (a) any third-party allegation that the text, logos, or materials submitted by Needer infringe upon a third party’s patent, copyright, trademark, or intellectual property rights; (b) any dispute between Needer and any third party responding to the Alert; or (c) any services, goods, or professional advice rendered as a result of the Alert connection.

Governing Law & Venue:(Required)

I agree that all transactions are governed by the laws of the Commonwealth of Kentucky, and I consent to binding commercial arbitration in Lexington, Kentucky.

MPB does not provide legal, financial, or technical advice, nor does it perform patent due diligence, validity analysis, or infringement mapping. MPB relies upon public information and information provided by the platform users; all such information is provided “as-is” without warranty of any kind, express or implied. Prospective buyers, hirers, and technical partners are solely responsible for conducting their own independent legal and technical due diligence. MPB’s involvement as a facilitator concludes upon the facilitation of the initial broadcast or introduction. Use of these documents or platforms does not create an attorney-client relationship.

I understand that MPB reserves the right to remove non-compliant alerts immediately and forfeit the fee if this regulatory nexus is absent.
